ConcieraHQ Terms and Conditions

Last updated: 2 October 2026

These Terms and Conditions ("Terms") govern access to and use of the ConcieraHQ software platform, website, applications, APIs, integrations and related services (collectively, the "Service").

ConcieraHQ is a brand and software service owned and operated by Konnectit Pty Ltd, an Australian company ("Konnectit", "ConcieraHQ", "we", "us" or "our").

These Terms are intended to apply to customers using ConcieraHQ internationally.

By creating an account, subscribing to the Service, signing or accepting an order, proposal or agreement referencing these Terms, or otherwise accessing or using the Service, you ("Customer", "you" or "your") agree to these Terms.

If you accept these Terms on behalf of a company, partnership, organisation or other legal entity, you represent that you have authority to bind that entity to these Terms.

1. The ConcieraHQ Service

ConcieraHQ is a software-as-a-service platform designed to connect, integrate, process, synchronise and manage information between business systems.

Depending on the Customer's configuration, the Service may integrate with point-of-sale systems, ecommerce platforms, membership and subscription systems, loyalty programs, reservation systems, customer relationship management systems, marketing platforms, accounting systems and other third-party applications.

The specific functionality available to a Customer depends on its subscription, configuration, enabled modules, integrations and any additional services agreed with Konnectit.

We may improve, update, modify or replace features of the Service as the platform evolves, provided that we do not materially reduce the core functionality of a paid Service without reasonable justification.

2. Subscription

Access to ConcieraHQ is provided on a recurring subscription basis unless otherwise agreed in writing.

The Customer agrees to pay the subscription fees specified in its proposal, order, subscription agreement, invoice or other commercial agreement with Konnectit.

Unless otherwise stated:

  • subscriptions are billed monthly;
  • subscriptions automatically renew until cancelled in accordance with Section 5;
  • fees are payable in advance for the applicable billing period;
  • applicable taxes, duties or similar governmental charges may be added where required by law; and
  • the Customer authorises Konnectit and its payment providers to charge the Customer's nominated payment method for recurring fees.

Implementation, onboarding, integration, development, customisation, consulting or other professional service fees may be charged separately.

3. International Customers, Currency and Taxes

ConcieraHQ is offered internationally.

Subscription fees may be charged in currencies supported by Konnectit or its payment providers.

The currency applicable to a Customer will normally be specified in the Customer's proposal, subscription, invoice or order.

The Customer is responsible for taxes, duties, levies or similar governmental charges applicable to its purchase or use of the Service, excluding taxes imposed on Konnectit's net income.

Where Konnectit is legally required to collect GST, VAT, sales tax or another transaction tax, that tax may be added to the amount payable by the Customer.

The Customer is responsible for any currency conversion charges, international transaction fees or other charges imposed by its financial institution or payment provider.

4. Changes to Subscription Fees

Konnectit may change subscription fees from time to time.

Where a price change affects an existing Customer, we will provide reasonable advance notice before the revised price takes effect.

If the Customer does not wish to continue using the Service at the revised price, the Customer may provide notice of cancellation in accordance with Section 5.

5. Cancellation and 30-Day Notice

Unless otherwise specified in a separate written agreement, either the Customer or Konnectit may cancel a recurring subscription by providing at least 30 days' written notice.

Notice may be provided electronically using a cancellation facility provided by ConcieraHQ, by email to the designated account or billing contact, or through another written method accepted by Konnectit.

The Customer's subscription and payment obligations continue during the 30-day notice period.

Where a billing date occurs during the notice period, the Customer remains responsible for fees applicable during the notice period. Konnectit may charge or invoice the Customer for amounts necessary to cover the remainder of the notice period.

Cancellation becomes effective at the end of the applicable 30-day notice period unless a later termination date has been agreed.

Fees already paid are generally non-refundable, including where the Customer elects not to use the Service during the notice period, except where a refund or other remedy is required by applicable law.

6. Payment

The Customer must maintain a valid payment method where recurring payment is required. If payment cannot be processed or an invoice becomes overdue, Konnectit may:

  • attempt payment again;
  • contact the Customer;
  • issue an invoice for the outstanding amount; and
  • after providing reasonable notice, suspend some or all access to the Service.

Suspension does not remove the Customer's obligation to pay amounts properly due.

Konnectit may use third-party payment processors to collect subscription and other fees.

7. Customer Accounts

The Customer is responsible for:

  • providing accurate account information;
  • maintaining the confidentiality and security of account credentials;
  • controlling access provided to employees, contractors and authorised users;
  • promptly removing access when a person is no longer authorised;
  • notifying Konnectit of suspected unauthorised access; and
  • ensuring its authorised users comply with these Terms.

The Customer is responsible for activities undertaken through its authorised accounts except to the extent those activities result from a security failure for which Konnectit is responsible.

8. Acceptable Use

The Customer must not use the Service:

  • for unlawful, fraudulent or malicious purposes;
  • in violation of applicable laws or regulations;
  • to infringe another person's intellectual property, privacy or other rights;
  • to introduce malware or other harmful code;
  • to interfere with the operation or security of the Service;
  • to gain unauthorised access to systems, accounts or data;
  • to circumvent access or security controls;
  • to reverse engineer, decompile or attempt to derive the source code of the Service except where such restrictions are prohibited by applicable law;
  • to resell or sublicense the Service without written authorisation from Konnectit; or
  • in a manner that materially interferes with the Service or its use by other customers.

Konnectit may suspend access where reasonably necessary to protect the Service, infrastructure, customers or third parties from security threats, unlawful activity or material misuse.

9. Third-Party Services and Integrations

ConcieraHQ integrates with software, platforms and services operated by third parties.

These third-party services may be subject to separate terms, privacy policies, licences, fees, technical requirements and usage restrictions.

The Customer is responsible for maintaining the third-party accounts, subscriptions, licences, permissions and credentials necessary for integrations selected by the Customer.

Third-party providers may modify, restrict, suspend, discontinue or replace their services, APIs or functionality.

Konnectit will use reasonable efforts to maintain supported integrations but cannot guarantee the continued availability, functionality or compatibility of a third-party service that is outside Konnectit's control.

Konnectit is not responsible for outages, errors, changes, data inaccuracies or failures caused solely by third-party services, except to the extent applicable law provides otherwise.

10. Customer Data

Customer Data means data, records, content and information supplied to or processed through the Service by or on behalf of the Customer.

The Customer retains ownership of its Customer Data.

The Customer grants Konnectit a non-exclusive right to access, host, store, copy, transmit, transform and process Customer Data to the extent reasonably necessary to:

  • provide and operate the Service;
  • perform integrations requested by the Customer;
  • synchronise information between authorised systems;
  • provide technical support;
  • maintain security and reliability;
  • diagnose and correct faults;
  • comply with applicable legal obligations; and
  • improve the technical operation and performance of the Service, subject to applicable privacy and confidentiality requirements.

Konnectit does not acquire ownership of Customer Data merely because that data is processed through ConcieraHQ.

11. Customer Responsibilities for Data

The Customer is responsible for ensuring it has the rights, permissions, notices, consents and other lawful authority necessary to provide Customer Data to ConcieraHQ and instruct Konnectit to process that data.

The Customer remains responsible for determining how its organisation collects and uses personal information and for complying with privacy, data protection, marketing and other laws applicable to its activities.

Where ConcieraHQ processes personal information on behalf of a Customer, Konnectit will process that information for purposes connected with providing the Service and in accordance with applicable privacy and data protection requirements.

Additional data processing terms may apply where required by applicable law or separately agreed between the Customer and Konnectit.

12. International Data Protection

ConcieraHQ may be used by Customers operating in multiple jurisdictions.

Depending upon the location of the Customer and individuals whose information is processed, privacy and data protection laws may apply, including laws governing the collection, processing, storage, transfer and protection of personal information.

Each party is responsible for complying with privacy and data protection obligations applicable to that party.

Where required, Konnectit may enter into additional data processing agreements or contractual provisions relating to international data transfers.

Further information regarding how Konnectit handles personal information is contained in the ConcieraHQ Privacy Policy.

13. Security

Konnectit maintains reasonable technical and organisational measures designed to protect the confidentiality, integrity and security of information processed through ConcieraHQ.

These measures may include access controls, encryption, account isolation, monitoring and other security controls appropriate to the Service.

However, no internet-connected system, software platform or electronic storage system can be guaranteed to be completely secure.

Customers must also take reasonable measures to protect their accounts, credentials, systems and third-party integrations.

14. Service Availability

Konnectit aims to provide a reliable and continuously available Service but does not guarantee uninterrupted or completely error-free operation.

The Service may occasionally be unavailable due to:

  • scheduled maintenance;
  • emergency maintenance;
  • software deployments;
  • infrastructure failures;
  • internet or telecommunications failures;
  • cloud infrastructure outages;
  • third-party service failures;
  • security incidents;
  • events outside Konnectit's reasonable control; or
  • other technical issues.

Where reasonably practicable, Konnectit will endeavour to minimise disruption and restore affected services promptly.

Specific uptime guarantees or service-level commitments apply only where expressly agreed in a separate written Service Level Agreement.

15. Support

Konnectit provides reasonable technical support for the ConcieraHQ Service.

Standard support does not necessarily include custom software development, modifications to third-party platforms, remediation of data caused by external systems, implementation of new integrations or other professional services unless separately agreed.

Additional services may be quoted separately.

16. Intellectual Property

Konnectit owns or licenses all intellectual property rights associated with ConcieraHQ, including its:

  • software;
  • source code;
  • platform architecture;
  • APIs;
  • data models;
  • interfaces;
  • documentation;
  • workflows;
  • integration technology;
  • designs;
  • branding;
  • trademarks; and
  • related technology.

The Customer receives a limited, non-exclusive, non-transferable right to access and use the Service during an active subscription in accordance with these Terms.

No ownership of ConcieraHQ intellectual property is transferred to the Customer.

The Customer retains ownership of its own data, trademarks, content and intellectual property supplied to Konnectit.

17. Feedback

If the Customer provides suggestions, recommendations, ideas or feedback concerning ConcieraHQ, Konnectit may use that feedback to develop, enhance and improve the Service without an obligation to compensate the Customer.

This does not transfer ownership of Customer Data, confidential information or other intellectual property belonging to the Customer.

18. Confidentiality

Each party may receive confidential, proprietary or commercially sensitive information belonging to the other. Each party agrees to:

  • use confidential information only for purposes associated with the Service or commercial relationship;
  • take reasonable measures to protect the information; and
  • not disclose confidential information except to personnel, contractors and service providers who reasonably require access, where authorised by the other party, or where required by law.

These obligations do not apply to information that:

  • is publicly available through no breach of these Terms;
  • was already lawfully known;
  • was independently developed without reference to the confidential information; or
  • was lawfully obtained from another source without confidentiality restrictions.

19. Suspension and Termination

Konnectit may suspend or terminate access where the Customer:

  • materially breaches these Terms and fails to remedy the breach within a reasonable period after receiving notice;
  • fails to pay amounts properly due;
  • uses the Service unlawfully;
  • creates a material security risk;
  • attempts to compromise the Service or another customer's systems or data; or
  • becomes insolvent, subject to applicable law.

Immediate suspension may occur where reasonably necessary to prevent fraud, unlawful activity, security compromise or material harm.

Where practical, Konnectit will notify the Customer of the reason for suspension and provide an opportunity to remedy the issue.

20. Effect of Termination

When a subscription terminates, the Customer's right to use the Service ends.

Konnectit may retain Customer Data for a reasonable period following termination to facilitate administrative processes, recovery or export where applicable.

Customer Data may subsequently be deleted or anonymised subject to applicable legal, regulatory, backup and record-retention obligations.

Customers should export information they require before termination where export functionality is available.

Provisions intended by their nature to continue after termination, including confidentiality, intellectual property, payment obligations and limitations of liability, survive termination.

21. Statutory and Consumer Rights

Nothing in these Terms excludes, restricts or modifies a right, guarantee, warranty or remedy that cannot legally be excluded, restricted or modified under applicable law.

This includes rights that may apply under the Australian Consumer Law and mandatory consumer or business protection laws applicable in other jurisdictions.

To the extent permitted by applicable law, Konnectit does not warrant that the Service will be uninterrupted, completely error-free or compatible with every third-party system, platform or configuration.

22. Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special or consequential loss, including loss of anticipated profits, loss of opportunity or loss arising from business interruption.

To the maximum extent permitted by applicable law, Konnectit's aggregate liability arising from or relating to the Service will not exceed the total subscription fees paid or payable by the Customer to Konnectit for the Service during the 12 months immediately preceding the event giving rise to the claim.

These limitations do not apply where liability cannot lawfully be excluded or limited.

Nothing in these Terms excludes or limits statutory rights or remedies where doing so would be unlawful.

23. Indemnity

To the extent permitted by applicable law, the Customer indemnifies Konnectit against third-party claims, losses, damages or liabilities arising directly from:

  • the Customer's unlawful use of the Service;
  • Customer Data supplied in breach of applicable law or third-party rights;
  • infringement caused by material supplied by the Customer; or
  • a material breach of these Terms by the Customer.

This indemnity does not apply to the extent a loss was caused or contributed to by Konnectit's negligence, unlawful conduct or breach of these Terms.

24. Force Majeure

Neither party will be liable for a failure or delay in performing its obligations where that failure results from circumstances beyond its reasonable control.

Such circumstances may include natural disasters, fire, flood, war, civil disturbance, government action, widespread telecommunications or internet failure, cloud infrastructure failure, labour disruption or other comparable events.

This provision does not excuse an obligation to pay amounts that became due before the relevant event.

25. Changes to These Terms

Konnectit may update these Terms where reasonably necessary to reflect changes to:

  • the Service;
  • functionality;
  • technology;
  • security requirements;
  • third-party services;
  • business operations; or
  • legal and regulatory requirements.

The current version will be published on the ConcieraHQ website.

Where a change materially affects an existing Customer's rights or obligations, Konnectit will provide reasonable advance notice unless an earlier change is required by law or necessary to address an urgent security issue.

Continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms, subject to applicable law.

26. Electronic Communications

The Customer agrees that agreements, notices, invoices and other communications relating to ConcieraHQ may be provided electronically.

Electronic communications may be delivered by email, through the ConcieraHQ platform or through another electronic contact method supplied by the Customer.

The Customer is responsible for maintaining current contact information.

27. Governing Law and International Customers

Konnectit Pty Ltd is an Australian company and these Terms are governed by the laws of Queensland, Australia, without regard to conflict-of-law principles.

Subject to any mandatory rights or jurisdictional requirements that cannot lawfully be excluded, the parties submit to the jurisdiction of the courts of Queensland, Australia.

If mandatory laws in the Customer's jurisdiction apply notwithstanding this governing-law provision, nothing in these Terms is intended to exclude rights or obligations that cannot lawfully be excluded.

The international availability of ConcieraHQ does not create a separate Konnectit legal entity, partnership, branch or permanent establishment in another jurisdiction merely because a Customer accesses the Service from that jurisdiction.

28. Entire Agreement

These Terms, together with any applicable proposal, order, subscription agreement, Data Processing Agreement, Service Level Agreement and other document expressly incorporated into the agreement, constitute the agreement between the parties concerning the Service.

Where a separately executed written agreement expressly conflicts with these Terms, the separately executed agreement will prevail to the extent of that conflict.

29. General

If any provision of these Terms is found to be invalid or unenforceable in a particular jurisdiction, that provision will be modified or severed to the minimum extent necessary without affecting the remaining provisions.

A failure to enforce a right under these Terms does not constitute a waiver of that right.

The Customer may not assign its rights under these Terms without Konnectit's prior written consent, which will not be unreasonably withheld.

Konnectit may assign or transfer these Terms as part of a corporate restructure, merger, acquisition, sale of ConcieraHQ or transfer of substantially all relevant business assets, subject to applicable law.

Nothing in these Terms creates an employment, partnership, joint venture, fiduciary or agency relationship between the Customer and Konnectit.
